  1. TERMS AND CONDITIONS
  2. Thank you for trying out the Google Toolbar software! By using this 
  3. software, including any third party software made available in conjunction 
  4. with this software, ("Google Toolbar") you agree to be bound by the 
  5. following terms and conditions (the "Terms and Conditions").

  7. Non-commercial Use Only 
  8. Google Toolbar is made available to you for your non-commercial use only. 
  9. This means that you may use it at work or at home, to search for anything 
  10. you want. But you first need to obtain Google's permission if you want to 
  11. sell the Google Toolbar or any information, services, or software 
  12. associated with or derived from it, or if you want to modify, copy (except 
  13. as provided below), license, or create derivative works from the Google 
  14. Toolbar.

  16. In that case, please send an email to toolbar-feedback@google.com. 
  17. Furthermore, you may not use Google Toolbar in any manner that could 
  18. damage, disable, overburden, or impair Google's search services (e.g., you 
  19. may not use the Google Toolbar in an automated manner), nor may you use 
  20. Google Toolbar in any manner that could interfere with any other party's 
  21. use and enjoyment of Google's search services.

  23. You may make copies of the Google Toolbar and distribute such copies to 
  24. others within your employer's organization provided that any such 
  25. recipient has had an opportunity to review and agree to be bound by these 
  26. Terms and Conditions.   If others within your organization do not have 
  27. this opportunity to review and agree and you would still like to 
  28. distribute copies to them, you may do so provided that you have the legal 
  29. right to bind your organization (and others within your organization) to 
  30. these Terms and Conditions.  If you do not have this right and the 
  31. recipients do not have an opportunity to review and agree to these Terms 
  32. and Conditions, please do not distribute the Google Toolbar to them.  If 
  33. you have any questions regarding the terms of distribution, please send an

  42. Intellectual Property
  43. You acknowledge that Google or third parties own all rights, title and 
  44. interest in and to the Google Toolbar, portions thereof, or software 
  45. provided through or in conjunction with the Google Toolbar, including 
  46. without limitation all Intellectual Property Rights. "Intellectual 
  47. Property Rights" means any and all rights existing from time to time under 
  48. patent law, copyright law, trade secret law, trademark law, unfair 
  49. competition law, and any and all other proprietary rights, and any and all 
  50. applications, renewals, extensions and restorations thereof, now or 
  51. hereafter in force and effect worldwide. You agree not to modify, adapt, 
  52. translate, prepare derivative works from, decompile, reverse engineer, 
  53. disassemble or otherwise attempt to derive source code from Google 
  54. Toolbar. You also agree to not remove, obscure, or alter Google's or any 
  55. third party's copyright notice, trademarks, or other proprietary rights 
  56. notices affixed to or contained within or accessed in conjunction with or 
  57. through the Google Toolbar.

  59. Disclaimer of Warranties 
  60. Google and any third party who makes its software available in conjunction 
  61. with or through the Google Toolbar disclaim any responsibility for any 
  62. harm resulting from your use of the Google Toolbar and/or any third party 
  63. software accessed in conjunction with or through the Google Toolbar.

  65. THE GOOGLE TOOLBAR AND ANY THIRD PARTY SOFTWARE MADE AVAILABLE IN 
  66. CONJUNCTION WITH OR THROUGH THE GOOGLE TOOLBAR ARE PROVIDED "AS IS," WITH 
  67. NO WARRANTIES WHATSOEVER. GOOGLE AND SUCH THIRD PARTIES EXPRESSLY DISCLAIM 
  68. TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY 
  69. WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF 
  70. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF 
  71. PROPRIETARY RIGHTS. GOOGLE AND ANY THIRD PARTY WHO MAKES ITS SOFTWARE

  73. WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND 
  74. PERFORMANCE OF GOOGLE TOOLBAR AND SUCH THIRD PARTY SOFTWARE.

  76. YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD AND/OR USE THE GOOGLE TOOLBAR 
  77. AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH 
  78. THE GOOGLE TOOLBAR AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE 
  79. SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA 
  80. THAT RESULTS FROM THE DOWNLOAD OR USE OF GOOGLE TOOLBAR AND SUCH THIRD 
  81. PARTY SOFTWARE. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE 
  82. EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO 
  83. YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND 
  84. JURISDICTION TO JURISDICTION.

  86. Limitation of Liability 
  87. UNDER NO CIRCUMSTANCES SHALL GOOGLE OR ANY THIRD PARTY WHO MAKES ITS 
  88. SOFTWARE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE GOOGLE TOOLBAR BE 
  89. LIABLE TO ANY USER ON ACCOUNT OF THAT USER'S USE OR MISUSE OF GOOGLE 
  90. TOOLBAR OR SUCH THIRD PARTY SOFTWARE. SUCH LIMITATION OF LIABILITY SHALL 
  91. APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, 
  92. SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER SUCH CLAIM IS BASED ON 
  93. WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF 
  94. GOOGLE AND/OR A THIRD PARTY SOFTWARE PROVIDER HAVE BEEN ADVISED OF THE 
  95. POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY 
  96. WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON THE GOOGLE 
  97. TOOLBAR AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR 
  98. THROUGH THE GOOGLE TOOLBAR, FROM INABILITY TO USE GOOGLE TOOLBAR AND ALL 
  99. THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE 
  100. GOOGLE TOOLBAR, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF 
  101. GOOGLE TOOLBAR AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION 
  102. WITH OR THROUGH THE GOOGLE TOOLBAR (INCLUDING SUCH DAMAGES INCURRED BY 
  103. THIRD PARTIES). SUCH LIMITATION SHALL APPLY NOTWITHSTANDING A FAILURE OF 
  104. ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT 
  105. PERMITTED BY LAW.

  107. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR 
  108. LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE 
  109. ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

  111. Google's Search Service 
  112. Google Toolbar is designed to be used in conjunction with Google's search 
  113. services. Accordingly, your use of Google Toolbar is also defined by 
  114. Google's Terms of Service and Privacy Policy. 
  115.  
  116. Miscellaneous Provisions
  117. These Terms and Conditions will be governed by and construed in accordance 
  118. with the laws of the State of California, without giving effect to the 
  119. conflict of laws provisions of California or your actual state or country 
  120. of residence. If for any reason a court of competent jurisdiction finds 
  121. any provision or portion of these Terms and Conditions to be 
  122. unenforceable, the remainder of these Terms and Conditions will continue 
  123. in full force and effect.

  125. These Terms and Conditions constitute the entire agreement between the 
  126. parties with respect to the subject matter hereof and supersede and 
  127. replace all prior or contemporaneous understandings or agreements, written 
  128. or oral, regarding such subject matter. Any waiver of any provision of 
  129. these Terms and Conditions will be effective only if in writing and signed 
  130. by Google and/or a third party who make its software available in 
  131. conjunction with or through the Google Toolbar.
